Terms of Service

These Terms of Service (“Terms”) govern your access to and use of N01 Labs (“we”, “us”, “our”) and our websites, applications, and related services (collectively, the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms.

1) Who we are

N01 Labs Inc. is a Canadian software company that develops and operates web-based tools such as PageTurn PDF, ChatForms, and other SaaS products. Contact: contact@n01labs.com.

2) Eligibility & Accounts

• You must be at least 13 years old (or the age required by local law) to use the Service.
• You are responsible for maintaining the confidentiality of your account credentials and all activity under your account.
• You agree to provide accurate information and to keep it updated. We may suspend or terminate accounts that violate these Terms.

3) Plans, Subscriptions & Billing

• We may offer free, pay-as-you-go, and subscription plans. Plan features and pricing are displayed at sign-up and may change with notice.
• Subscriptions renew automatically until cancelled. You can cancel anytime from your account settings.
• Payments are handled securely through third-party processors (e.g., Stripe). Fees are non-refundable except as required by law.
• Taxes may apply and are calculated based on your billing location.

4) Acceptable Use

• You agree not to upload, share, or transmit content that is unlawful, infringing, or harmful (e.g., malware, hate, or abusive content).
• You may not disrupt or overload the Service, attempt unauthorized access, or reverse-engineer our software.
• You are responsible for your actions and the content you create or upload while using the Service.

5) Your Content & License

You retain ownership of the content you create, upload, or process through our products. You grant N01 Labs a limited, non-exclusive, worldwide license to host, process, and display that content solely to operate and improve the Service or comply with legal obligations.

6) Privacy

Our Privacy Policy explains how we collect, use, and protect your data. By using the Service, you agree to our handling of data as described there.

7) Service Availability & Changes

• We aim for high reliability but do not guarantee uninterrupted service.
• We may update, modify, or discontinue parts of the Service. For material changes to paid features, we’ll give reasonable notice.
• Maintenance or downtime may occur for updates, security, or legal reasons.

8) Third-Party Services

Some features integrate with third-party providers (e.g., authentication, payment, analytics). Their use is subject to their own terms and policies. N01 Labs is not responsible for those third-party services.

9) Intellectual Property

The N01 Labs name, logo, designs, and software are our intellectual property or that of our licensors. Except for the rights expressly granted, no license or ownership is transferred to you.

10) Feedback

If you share feedback or suggestions, you grant us a perpetual, royalty-free license to use them for any purpose without obligation or compensation.

11) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, N01 LABS AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE AMOUNT YOU PAID TO US DURING THAT PERIOD (OR $50 IF YOU USE A FREE PLAN).

13) Indemnification

You agree to defend and indemnify N01 Labs, its employees, and affiliates from claims arising from your use of the Service, your content, or your violation of these Terms.

14) Termination

• You may stop using the Service at any time and cancel subscriptions through your account.
• We may suspend or terminate access if you violate these Terms or for security/legal reasons.
• Upon termination, your right to use the Service ends; certain sections (IP, liability, etc.) survive termination.

15) Governing Law

These Terms are governed by the laws of Ontario, Canada. You agree that disputes will be resolved in the courts of Ontario unless otherwise required by law.

16) Changes to Terms

We may update these Terms periodically. Material updates will be announced by email or in-app notice. The updated version will always be available at n01labs.com/terms.
